Coworking Agreement vs Office Lease in Telangana: Registration and Stamp Duty

Why most Hyderabad coworking agreements are licences rather than leases, when an office lease must be registered in Telangana, the 11-month agreement and what to ask about stamp duty.

A coworking membership in Hyderabad is almost always a licence or service agreement: you pay to use space and services, but you don’t become a tenant. A conventional office rental is a lease. Under the Registration Act, 1908, a lease for more than one year (or one reserving a yearly rent) must be registered, which is why many office rentals are written for 11 months. In both cases the agreement usually needs stamp duty paid under the stamp law that applies in Telangana.

This is general information, not legal advice. Stamp duty rates and registration fees change, so check the current position with the Telangana Registration and Stamps Department or a lawyer.

Licence vs lease in plain words

Coworking licence / service agreement Office lease
What you get Right to use desks, rooms and services Right to occupy a defined space
Tenancy rights No Yes, as set out in the lease
Fit-out, furniture, internet Included Your cost
Typical term 1–36 months 11 months to 9 years
Registration Usually not registered Required if over 1 year
Deposit 1–3 months (more for managed offices) Often 6–10 months’ rent in Hyderabad

Why the 11-month agreement is so common

Section 17 of the Registration Act requires leases longer than a year to be registered at the sub-registrar’s office. Registration costs a fee plus stamp duty on the rent and deposit, and both sides must appear. Many landlords and tenants avoid this with an 11-month agreement that is renewed. An unregistered agreement may be hard to rely on in a dispute over the long term, though. For a large office, a properly registered lease is safer.

Stamp duty

Whether you sign a licence or a lease, the document should be stamped, usually through e-stamping or non-judicial stamp paper. The amount depends on how the document is classified, its term, and the rent and deposit. An unstamped or under-stamped agreement can’t easily be used as evidence until the duty and a penalty are paid.

Questions to ask:

  • Who pays the stamp duty? It’s usually the member or tenant, but this can be negotiated.
  • Is the coworking agreement stamped, and will you receive the stamped copy?
  • For a lease, what are the registration fee and stamp duty on the total rent plus deposit?

Which suits you

  • Under 30 people, or unsure about growth: a coworking licence avoids deposits, registration and fit-out.
  • 30–150 people, 2–3 years: a managed office is still a licence, with your own floor or wing built to your layout.
  • 150+ people, 5+ years: a registered lease of a bare-shell or warm-shell floor is often cheaper per seat. You pay for fit-out and manage the office yourself.
